1. Important Disclaimer
Cambodia Deals is not a seller, developer, escrow agent, or financial institution. We are an introduction and advisory platform. All real estate transactions including deposits, contracts, title transfers, and completions are executed directly between you (the investor) and the property owner, developer, or their authorized representative. These Terms of Purchase govern the framework of your engagement with us as a facilitator, not the specific terms of any property transaction.
2. No Online Transactions
You cannot purchase property directly through this website. Our platform is for inquiry, qualification, and introduction only. All financial commitments, contract signings, and fund transfers occur offline, under the laws of the Kingdom of Cambodia, and under the specific terms of the Sale & Purchase Agreement (SPA) or equivalent contract provided by the seller.
3. Due Diligence Is Your Responsibility
While we provide preliminary financial studies, legal structure memos, and site assessments, these are for guidance only. You are solely responsible for conducting your own independent due diligence, including but not limited to:

Legal title verification and title search.

Zoning and land-use compliance verification.

Financial and tax advisory review.

Physical inspection of the property or site.

Verification of the seller's authority and ownership.
We strongly encourage all investors to engage independent Cambodian legal counsel before signing any contract or transferring any funds.
4. Deposits & Payments
Any deposit, reservation fee, or purchase payment is made directly to the seller or their designated escrow agent never to Cambodia Deals. We do not hold client funds. We may recommend trusted escrow and legal partners, but the selection and engagement of these parties is your decision.
5. Non-Refundable Advisory Fees
If Cambodia Deals charges any advisory, origination, or coordination fee, this will be disclosed in writing prior to engagement. Deal-specific fees, if any, are separate from the property purchase price and are governed by a separate Advisory Agreement. No fees are charged simply for browsing the site or joining the priority list.
6. Foreign Ownership Structures
Foreigners cannot hold freehold land directly in Cambodia. Ownership is typically structured through leasehold agreements (up to 50+50 years), company formations, or nominee arrangements. We provide introductory legal memos on these structures, but you must engage qualified Cambodian legal counsel to structure your ownership in compliance with current law. Cambodia Deals assumes no liability for the legal validity of any ownership structure you adopt.
7. Project Timelines & Completion Risk
For off-plan, pre-sales, or development projects, completion timelines are estimates provided by developers. Delays may occur due to weather, regulatory changes, financing, or construction issues. We do not guarantee completion dates and are not liable for developer delays, cost overruns, or project cancellations.
8. Cancellation & Withdrawal
If you withdraw from a transaction after signing an SPA or paying a deposit, your right to a refund is determined solely by the terms of that SPA and Cambodian law. Cambodia Deals is not a party to that contract and cannot intervene in refund disputes between you and the seller.
9. Power of Attorney (POA)
If you appoint Cambodia Deals or a team member as your Power of Attorney for handover, inspection, or transaction management, this is governed by a separate POA agreement executed in accordance with Cambodian law. A POA does not transfer ownership, financial liability, or decision-making authority beyond the scope explicitly defined in that document.
10. Governing Law
These Terms of Purchase, and any advisory relationship formed through Cambodia Deals, are governed by the laws of the Kingdom of Cambodia. Disputes shall be resolved through good-faith negotiation, and if unresolved, submitted to the courts of Phnom Penh.
